Welcome to www.reviewcompany.com.au (“Website”), operated by Ascently Pty Ltd trading as The Review Company (ABN 88 646 276 119) (“Company”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”, “Agreement”) govern your use of our software, services, and platform (“Services”). By accessing or using our Services, you (“Customer”, “you”) agree to be bound by these Terms.

If you do not agree, you must not use our Services.

1. Services

The Company provides a subscription-based software platform that enables businesses to request, collect, and manage customer reviews. Details of the Services are available on our Website. We will provide technical support in line with our Support Services Policy during Normal Business Hours (8:00 am – 6:00 pm Brisbane time, Monday–Friday, excluding public holidays).

2. User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your login credentials.

You must ensure all equipment, internet, and systems required to access our Services are maintained by you.

You agree not to:

  • reverse engineer, copy, or modify any part of the Services,

  • misuse the Services in violation of applicable law, or

  • introduce any virus, malware, or harmful code.

You indemnify the Company against any claim, loss, or liability arising from your misuse of the Services.

3. Customer Data

You retain ownership of all data you input into the Services (“Customer Data”).

You confirm that Customer Data does not infringe third-party rights or breach any laws.

The Company may process Customer Data solely for the purpose of providing the Services.

Customer data may be shared with third-party vendors, including BirdEye, Inc. with whom The Company works.

The Company is not responsible for data loss caused by misuse, outages, or viruses.

4. Fees & Payment

Fees are billed monthly in advance. Payment must be received within 30 days of invoice.

Late payments may incur interest at 1.5% per month and may result in suspension of Services.

Fees may be updated with 30 days’ prior notice.

5. Term & Termination

Subscriptions renew automatically on a monthly basis, but commitment to The Company is on a 90-day basis.

Provisions relating to confidentiality, fees owed, disclaimers, indemnities, and liability survive termination.
6. Confidentiality & Intellectual Property

Each party agrees to protect the other’s confidential information with reasonable care.

The Company retains all rights, title, and interest in the Services, software, and related technology.

You are granted a non-exclusive, non-transferable license to use the Services during your subscription term.

7. Warranties & Disclaimers

The Company will use reasonable efforts to maintain the Services in line with industry standards.

Services may be unavailable during scheduled or emergency maintenance.

The Company does not warrant uninterrupted, error-free operation or compatibility with all third-party systems.

To the extent permitted by law, all other warranties (express or implied) are excluded.

8. Indemnity

You agree to indemnify and hold harmless the Company, its officers, employees, and agents against claims, losses, damages, or expenses arising from:

  • your breach of these Terms, or

  • your negligent, unlawful, or wilful acts.

9. Limitation of Liability

Our liability is limited to the total fees paid by you in the 6 months preceding the claim.

We are not liable for indirect or consequential losses, including loss of profit, goodwill, or business.

Nothing in these Terms limits liability for death or personal injury caused by negligence.

10. General

These Terms are governed by the laws of Queensland, Australia. You submit to the jurisdiction of Queensland courts.

If any provision is found invalid, the remainder remains enforceable.

We may update these Terms from time to time by posting a revised version on our Website. Continued use of the Services constitutes acceptance.

11. Support Services

Support is available via email at mail@reviewcompany.com.au during Normal Business Hours.

We will use reasonable efforts to respond within 1–2 business days. Support may be suspended if your account is overdue by more than 10 days.
